and the Multilateral Investment Fund (MIF) on matters relating to private sector and non-sovereign guaranteed (NSG) lending, guarantee and equity operations in the region.
KEY RESPONSIBILITIES
As an attorney in the Legal Department's Non-Sovereign Guaranteed Operations Division, you will advise Bank management and staff in respect of Bank and MIF private sector and NSG lending and equity operations and products, and participate in the due diligence, structuring, negotiating, drafting, closing, administration and workouts of private sector and NSG financing operations. One of the positions is focused on infrastructure project finance and corporate finance transactions, while the other is focused on financial markets transactions.
The main functions of the positions involve:
• Provide legal advice on all Bank and MIF policies, procedures and product development related to the
Bank's private sector and NSG window and MIF lending, guarantee and equity operations.
• Advise and be part of project teams in private sector and NSG loan and guarantee operations for the Bank and MIF. Conduct due diligence, and draft, negotiate and advise on financing, security, equity and inter-creditor documentation. One of the positions will have a particular emphasis on infrastructure project finance and corporate finance transactions. The other position will have a particular emphasis on financial markets transactions, which include loans to financial institutions , trade finance, loans to funds and capital markets and structured finance transactions.
• Advise and work on portfolio administration matters, including restructurings and troubled loan situations.
• Participate in the selection of outside counsel and supervise counsel in a cost-effective manner.
• Participate in presentations to internal committees and Board of Executive Directors.
REQUIREMENTS
Education: Juris Doctor, LL.B. or equivalent from an accredited law school in a Bank member country, admission to practice law in at least one Bank member country, and knowledge of both civil and common law systems. LL.M. degree is a plus.
Experience *: At least six (6) to eight (8) years of relevant professional legal experience since earning law degree, including at least three (3) to five (5) years experience as lead lawyer in private international business transactions. Significant experience as lead lawyer is essential in either (i) infrastructure project finance or corporate finance, or (ii) financial markets transactions.
Languages: Excellent oral and written communication skills and ability to draft and negotiate complex financing and security documentation in English, Portuguese and/or Spanish.
* Seniority level will be determined by the Bank based on each candidate's profile.
TECHNICAL COMPETENCIES
Transactional: Proven ability to conduct due diligence and to structure, draft, negotiate, close and monitor financing, security, equity and intercreditor arrangements under New York law. Ability to structure, draft, negotiate, close and monitor financing and security arrangements under civil law is also required. Experience in a primary role in a variety of complex cross-border commercial transactions with an emphasis either on (i) infrastructure project finance and corporate finance transactions or (ii) loans to financial institutions , trade finance, loans to funds and capital markets and structured finance transactions. Knowledge of credit enhancements and risk mitigation techniques in such transactions. Experience with restructurings, workouts and troubled loan situations. Familiarity with the use of guarantees in private sector financings.
Regional: Knowledge of the key legal and regulatory issues involved in the development of the legal frameworks in major markets of Latin America and the Caribbean applicable to either (i) infrastructure and corporate financings; or (ii) financial institutions and funds financings and capital markets . Knowledge of the collateral security structures used in the region to satisfy the requirements of international and local financiers.
Other: Demonstrated capacity to work on complex transactions with minimum supervision. Experience in private sector law firms in the U.S. and in Latin America or the Caribbean. Ability to direct the work of outside counsel and ensure their cost-effectiveness and quality. Excellent interpersonal skills and capacity to work in multidisciplinary groups.
